A Message from the NZSIA President: Constitution Update & Member Consultation

Dear Members of the NZSIA,

Please take the time to read the following and participate in the consultation process to ensure we can answer any questions before the AGM, where we hope to adopt the updated constitution for implementation in 2026.

Due to the update of the Incorporated Societies Act, NZSIA is required to re-register under the new Act before April 2026. To comply, several changes are required to the constitution.

While revising the constitution for compliance, NZSIA also took the opportunity to simplify and update other areas to align with organizational best practice and future needs.

The draft constitution has been prepared in collaboration with Gibson Sheat Lawyers. To help members understand the proposed changes, NZSIA has grouped them into two categories:

  • Category 1: Changes required to comply with the Incorporated Societies Act.
  • Category 2: Recommended changes to enhance the Constitution.

Online Consultation Sessions

We will be holding two online sessions where members can ask questions or seek clarification:

Please send questions in advance if possible. If you cannot attend but would still like to provide input, email president@nzsia.org.

The final draft constitution will be presented at the AGM on 7 June for adoption.

Any proposed motions or items of business must be emailed to admin@nzsia.org by 4:00pm, Friday 23rd May 2025.

Date Summary for Constitution Rollout

  • 7:00pm – Tuesday 13th May – Consultation Meeting (Zoom)
  • 7:00pm – Monday 19th May – Consultation Meeting (Zoom)
  • 4:00pm – Friday 23rd May – Final constitution sent to members for voting
  • 4:00pm – Friday 23rd May – Deadline for proposed motions and items of business

Board Vacancies

It’s election time! There are two positions available:

  • President: Daniel Bogue is standing for re-election.
  • Vice President: Claire Dooney is standing for re-election.

Suggested Qualities for These Roles

The role of an NZSIA board member carries responsibility across risk, liability, leadership, and communication. A board member must act in good faith and in the best interests of NZSIA.

Nominees will:

  • Engage in the development, approval, and monitoring of NZSIA strategy
  • Be familiar with, but not necessarily active in, snowsports
  • Be a current NZSIA member
  • Reside in New Zealand and be eligible for employment
  • Be available for daily operational input and communication

Desirable experience:

  • Health & Safety Management
  • Organisational Management
  • People and Performance
  • Legal and Risk (NZ/international)
  • Strategy and Direction
  • Leadership of Culture and Values
  • Financial Management

Quorum and Voting

Under Rule 16, no fewer than 20 members present constitutes a quorum. All current members are entitled to vote. Electronic votes do not count towards quorum.

Electronic Voting

Voting will be available via the website from 4:00pm, Friday 16th May until 4:00pm, Wednesday 4th June 2025.

We’re reopening Expressions of Interest for the NZSIA Equity, Diversity & Inclusion (EDI) Task Force. Whether you’re returning or new, we’d love to hear from you.

This group is open to everyone—especially encouraging male champions to step forward. Your voice matters in this important mahi.
